Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TruePayables service operated by SignApi, Inc. ("SignApi," "we," "us," or "our"). By using TruePayables, you agree to these Terms.

1. Acceptance of Terms

By accessing or using TruePayables, you agree to be bound by these Terms and our Privacy Policy. If you are using TruePayables on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

TruePayables is a vendor master data management platform that helps accounts payable teams detect invoice fraud, verify bank changes, and maintain audit-ready vendor records. The service includes:

• Invoice processing and data extraction
• Vendor information verification
• Bank account change detection
• Vendor timeline and audit trail maintenance
• Integration with accounting and ERP systems

3. Account Registration

To use TruePayables, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

4. Acceptable Use

You agree to use TruePayables only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Upload or transmit malicious code or content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service or servers
• Use the service to process data you do not have rights to process
• Resell or sublicense the service without authorization

5. Your Data

You retain all rights to the data you upload to TruePayables ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the service. We will:

• Not use Customer Data for any purpose other than providing the service
• Not share Customer Data with third parties except as described in our Privacy Policy
• Not use Customer Data to train machine learning models
• Allow you to export or delete your data at any time

6. Subscription and Payment

TruePayables is offered on a subscription basis. By subscribing, you agree to:

• Pay the applicable fees based on your selected plan
• Provide accurate billing information
• Automatic renewal unless you cancel before the renewal date

Fees are non-refundable except as required by law or as expressly stated in these Terms.

7. Free Trial

We may offer a free trial period. At the end of the trial, your account will convert to a paid subscription unless you cancel. Trial limitations and conditions will be disclosed at signup.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice when possible. We are not liable for any downtime or service interruptions.

9. Intellectual Property

TruePayables and all related technology, content, and trademarks are the property of SignApi, Inc. These Terms do not grant you any rights to our intellectual property except the limited right to use the service as permitted.

10. Confidentiality

Each party agrees to protect the other's confidential information with the same degree of care used to protect its own confidential information. Confidential information does not include information that is publicly available or independently developed.

11. Warranties and Disclaimers

TruePayables is provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

While TruePayables is designed to help detect potential fraud and anomalies, we do not guarantee detection of all fraudulent activity. You remain responsible for your own payment verification processes.

12. Limitation of Liability

To the maximum extent permitted by law, SignApi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability for any claims arising from these Terms or use of the service shall not exceed the amounts paid by you to SignApi in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless SignApi and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the service or violation of these Terms.

14. Termination

Either party may terminate these Terms at any time. You may cancel your subscription through your account settings or by contacting us. Upon termination:

• Your access to TruePayables will end
• You may request export of your data within 30 days
• We will delete your data within 30 days of your request

We may suspend or terminate your account immediately if you violate these Terms.

15. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the service. Continued use of TruePayables after changes take effect constitutes acceptance of the modified Terms.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SignApi.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations freely.
